Terms of Service
These Terms of Service ("Terms") govern your access to and use of Alphanizes' website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Our Services
Alphanizes provides digital services including but not limited to AI automation, web and app development, internal tooling, growth marketing, and video production. The specific scope of services for each project is defined in a separate Statement of Work or Service Agreement.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.
Payment Terms
Payment terms for each engagement are outlined in your individual project agreement. General payment conditions include:
- A deposit (typically 50%) is required before project commencement
- Remaining balance is due upon project completion or as per milestone schedule
- Invoices are due within 14 days of issuance unless otherwise agreed
- Late payments may incur interest at 1.5% per month
- All prices are exclusive of applicable taxes unless stated otherwise
Intellectual Property
Client Ownership
Upon receipt of full payment, you retain full ownership of all custom deliverables created specifically for your project, including designs, code, and content.
Alphanizes Ownership
We retain ownership of all pre-existing tools, frameworks, templates, methodologies, and proprietary processes used in the delivery of our services. These are licensed to you for use within your project only.
Portfolio Rights
Unless explicitly agreed otherwise in writing, Alphanizes reserves the right to showcase completed work in our portfolio, case studies, and marketing materials.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, technical specifications, financial data, and client lists.
Confidentiality obligations survive termination of the agreement for a period of two (2) years.
Limitation of Liability
Alphanizes shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, data, or business opportunities.
Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim in the three (3) months preceding the claim.
Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination:
- All work completed to date will be delivered to the client
- Payment for all work completed up to the termination date is due immediately
- The deposit is non-refundable if termination is initiated by the client
- Alphanizes will refund proportionate unused fees if we initiate termination without cause
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or the courts of Florida.
Changes to These Terms
We reserve the right to update these Terms at any time. We will notify existing clients of material changes via email. Continued use of our services after changes constitutes acceptance of the revised Terms.
